Edgewater Wireless Systems Inc., a pioneer in AI-powered Wi-Fi Spectrum Slicing silicon solutions, has closed a private placement that includes a strategic investment from Silicon Catalyst Angels I, LLC (SCA). The investment marks a significant milestone as the company advances its next-generation Spectrum Slicing and PrismIQ platforms toward prototype validation and commercial engagements.
The private placement, which closed in two tranches, raised aggregate gross proceeds of $717,332.70. SCA participated in the second tranche, becoming the second strategically aligned semiconductor investor to back Edgewater. Additionally, Edgewater's Chairman, Brian Imrie, increased his investment, underscoring leadership's confidence in the company's direction.
Edgewater's Spectrum Slicing technology is designed to revolutionize Wi-Fi performance by enabling multiple concurrent channels in a single band, delivering up to a 10x improvement in performance and 50% lower latency, even for legacy devices. This is particularly timely as the industry transitions to Wi-Fi 7 and beyond, where devices operate in congested spectrum environments.
Andrew Skafel, President and CEO of Edgewater Wireless, emphasized the importance of the investment: "Experienced semiconductor investors understand where value can be created: when differentiated technology moves into visible execution. SCA's direct investment is a validation of our novel approach and strengthens Edgewater's strategic investor base at an important point in our development."
The relationship between Edgewater and Silicon Catalyst began in November 2024 when Edgewater was selected as a Silicon Catalyst Portfolio Company. Since then, Edgewater has gained access to Silicon Catalyst's extensive ecosystem, including more than 500 industry experts and millions of dollars in in-kind design, fabrication, and commercialization resources. Nick Kepler, COO of Silicon Catalyst, also serves as a Board Observer for Edgewater.
SCA, established in 2019, provides seed and Series A funding to Silicon Catalyst Portfolio Companies. Its members include experienced semiconductor executives, technologists, and investors who bring capital, industry insight, and strategic relationships. This investment not only provides funding but also aligns Edgewater with seasoned semiconductor professionals who can guide the company through its next phases.
The proceeds from the offering will be used for semiconductor design, engineering, and product development related to the Spectrum Slicing prototype, as well as for general working capital. The company expects to achieve significant engineering and ecosystem milestones as it moves from validation to execution, with an initial product release anticipated in the first half of 2027.
Brian Imrie, Chairman of Edgewater, expressed his confidence: "My additional investment reflects my confidence in Edgewater's technology, team, and commercial traction. The Company has built a strong foundation and is advancing toward milestones that can demonstrate the relevance of Spectrum Slicing across high-reliability Wi-Fi and emerging high-performance applications."
The private placement details include the issuance of 4,799,666 units in the second tranche at a price of $0.06 per unit, for gross proceeds of $287,979.96. Each unit consists of one common share and one warrant, exercisable at $0.09 for two years. The securities are subject to a statutory hold period until January 9, 2027, and the closing remains subject to final approval by the TSX Venture Exchange.
This strategic investment from SCA is a strong signal of confidence in Edgewater's technology and its potential to disrupt the Wi-Fi industry. By aligning with experienced semiconductor investors, Edgewater is well-positioned to navigate the complexities of silicon development and bring its Spectrum Slicing solution to market, potentially transforming Wi-Fi performance for service providers, OEMs, and enterprises worldwide.
