CleanGo Innovations Inc. (CSE: CGII) (OTC: CLGOF) (FRA: APO2) has announced that its wholly owned subsidiary, Kubera Black Energy, has officially launched its global Gain of Revenue (GOR) program. The program is designed to attract oil well operators worldwide by offering an environmentally friendly solution that eliminates upfront chemical costs and aligns revenue with production increases.
Under the proprietary GOR business model, Kubera Black Energy assumes 100 percent of the upfront chemical cost and risk. Operators retain full revenue from their baseline production, which is established through an auditable review of recent production history. For instance, if a well currently produces 20 barrels per day, that baseline is protected. Any incremental production resulting from the application of Kubera's CG-100 green chemistry is shared on a collaborative basis. For example, if production rises to 60 barrels per day, the extra 40 barrels are split between the operator and Kubera.
Operators maintain complete control over their operations, as their own field crews handle all on-site implementations. Kubera supplies the engineering and advanced proprietary green chemistry, assisting only at the operator's direct request. This approach ensures operational continuity and comfort for well operators.
The CG-100 product is a certified green alternative to traditional toxic chemicals like acid washes and hot oiling. It utilizes advanced green emulsification and targeted structural breakdown to permanently address downhole production bottlenecks, including macrocrystalline paraffin waxes, asphaltene aggregations, and organic binder scales. The technology lowers interfacial tension, alters thermodynamic wettability to a water-wet state, and encapsulates wax molecules in stable micelles to ensure permanent fluidization.
In addition to the GOR program, CleanGo announced its intention to close a non-brokered private placement of up to 974,025 units at a price of $0.77 per unit, for aggregate gross proceeds of up to approximately $750,000. Each unit consists of one common share and one-half of one common share purchase warrant. Each whole warrant entitles the holder to acquire an additional share at an exercise price of $0.85 per share for two years from issuance. The net proceeds will be used for general working capital and corporate purposes.
The GOR program is significant for the oil and gas industry as it offers a production-driven revenue model that reduces financial risk for operators while promoting the use of certified green chemistry. By absorbing upfront chemical costs, Kubera Black Energy enables operators to enhance production without capital expenditure, potentially improving profitability and environmental sustainability. The program's global expansion could influence how oil well optimization is approached, encouraging adoption of non-toxic solutions.
Kubera Black Energy is actively seeking multi-well regional partnerships with E&P operators, asset managers, and operations directors worldwide. Interested parties are invited to submit asset information for a full assessment of a possible partnership. The private placement is subject to regulatory approvals, including the Canadian Securities Exchange. The securities issued will be subject to a statutory hold period of four months and one day from the date of issuance in accordance with Canadian securities laws.
